1. Introduction and Acceptance

These Terms and Conditions govern your use of the Qualitect platform provided by Qualitect Ltd. By accessing or using the Qualitect platform, you agree to be bound by these terms in their entirety. If you do not agree with any part of these terms, you must not use the platform.

2. Definitions

Account means your registered user account on the Qualitect platform.

Awarding Organisation means an organisation recognised by one or more qualifications regulators to develop and qualifications.

means all intellectual property rights including patents, copyright, design rights, trademarks, database rights and any applications for such rights.

means an individual who undertakes a programme of learning or study. On the Qualitect platform, learner data may be referenced within content but learners do not directly access the platform except where learning services provided by Qualitect are used.

Platform means the Qualitect software platform accessible at qualitect.co.uk and associated APIs and services.

means any individual or organisation accessing the Qualitect platform, including training providers, awarding organisations, universities and colleges, professional associations, governments and public sector bodies, private sector organisations and individuals.

Qualification means a formal recognition that a learner has achieved a defined standard of knowledge, skill or competence.

Regulator means a body recognised by law as responsible for regulating qualifications in the relevant jurisdiction.

Services means all features and functionality provided through the Qualitect platform. Where applicable, additional services will be introduced as the platform develops.

means a document that sets out the content, structure and requirements of a qualification. Sometimes also known as a specification or curriculum.

We, us, our refers to Qualitect Ltd.

You, your refers to the Platform User accessing the platform.

3. Platform Description and Service Scope

The Qualitect platform provides digital tools for qualification design and alignment to across multiple regions and frameworks. Core services include qualification generation using AI-assisted drafting tools, compliance checks, review workflow management and export functionality. Where applicable, additional services will be introduced as the platform develops. We do not guarantee that any qualification generated will receive regulatory approval.

Where the Platform User is a customer organisation, the forms part of these terms.

4. Account Registration and Eligibility

Registration is restricted to individuals aged 18 years or older, except that learners under 18 may access learning services with the consent of a parent or guardian or under a customer organisation's arrangement. You must provide accurate contact information. Each Platform User must register individually. You must notify us immediately of any unauthorised use of your account.

5. Subscription Types and Access Levels

5.1 Transactional Subscriptions

Pay-per-use access to qualification design and compliance tools. Under this model, you purchase access to individual items. Currently available items and pricing are published on our website. Access purchased is valid for 12 months from the date of purchase and cannot be transferred between organisations. Unused access is non-refundable except where required by consumer protection legislation.

5.2 Enterprise Subscriptions

Unlimited access to all platform features for a fixed annual fee. Enterprise subscriptions renew automatically unless cancelled with 90 days written notice.

6. Payment Terms and Billing

All fees are payable in British Pounds Sterling. Value Added Tax is charged at the applicable rate. For customers based in Northern Ireland, we apply UK VAT rates in accordance with current UK-EU arrangements applicable to Northern Ireland. You are responsible for determining your VAT obligations in your jurisdiction. Transactional billing: charged immediately upon order confirmation. Enterprise billing: annual in advance, due within 30 days of invoice. Late payment charges of 1.5% per month may apply.

7. Intellectual Property Rights

7.1 Platform Ownership

Qualitect Ltd owns all Intellectual Property Rights in the platform software. You are granted a non-exclusive, non-transferable licence to use the platform during your subscription.

7.2 User Content Ownership

You retain ownership of all content you upload. By uploading content you grant us a limited licence to process, store and display it as necessary to provide the services.

7.3 Generated Qualification Content

Qualifications generated through the platform belong to you as the Platform User. We claim no ownership rights in generated qualification content.

8. User Obligations and Acceptable Use

Your use must comply with our Acceptable Use Policy and all applicable laws. For detailed requirements please refer to our Acceptable Use Policy, which forms part of these terms.

9. Service Availability and Maintenance

We aim to provide platform availability of 99.5% measured monthly, excluding planned maintenance windows scheduled outside UK business hours with at least 48 hours notice.

10. Data Protection and Privacy

Data collection, processing and storage is governed by our Privacy Policy, which complies with UK and the Data Protection Act 2018. As a platform operator, we act as both and depending on the specific processing activities.

11. Limitation of Liability

We do not guarantee that any qualification generated will receive regulatory approval. Our total liability shall not exceed subscription fees paid in the 12 months preceding the claim. We exclude liability for indirect, consequential or special damages. Nothing excludes our liability for death or personal injury caused by our negligence or fraud.

12. Termination and Suspension

12.1

You may terminate your subscription at any time by written notice. Upon termination you may export your data for 30 days.

12.2

We may terminate or suspend your subscription immediately for breach of these terms, or with 30 days written notice for operational reasons.

12.3

We will retain audit data for seven years following termination in accordance with our data retention policy and applicable legal requirements.

13. Force Majeure

We shall not be liable for any failure or delay resulting from circumstances beyond our reasonable control.

14. Amendments

Material changes will be notified at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.

15. Governing Law

These Terms and Conditions are governed by the laws of England and Wales.
